Terms of Use

Share, by Royal Acorn LLC. Effective [EFFECTIVE DATE].

These terms are an agreement between you and Royal Acorn LLC, a Utah limited liability company ("Royal Acorn", "we", "us"), about your use of the Share app and the website at joinshare.app (together, "Share"). By creating an account or using Share you agree to them. If you do not agree, do not use Share.

1. Who can use Share

You must be at least 18 years old and live in the United States. You may hold one account, for yourself, and you are responsible for keeping access to your email address and devices secure.

2. What Share is

Share is a planning tool. It takes figures you enter, and figures from financial accounts you choose to connect, and projects them forward using assumptions you can see and change, such as inflation and expected returns. It shows you the arithmetic consequences of those figures and of the scenarios you ask it to run.

3. What Share is not: no advice

Share does not give investment, financial, tax, legal or accounting advice. Royal Acorn is not a registered investment adviser, broker-dealer, financial planner, tax preparer or fiduciary, and using Share does not create an advisory or fiduciary relationship.

• Share does not recommend any security, fund, asset manager or allocation, and does not recommend buying, selling, holding or rebalancing anything.
• Projections, probabilities and dates are hypothetical. They depend entirely on the figures and assumptions used, and actual results will differ. They are not predictions, promises or guarantees.
• A scenario shows a tradeoff. Choosing between options is your decision, and you are responsible for the financial decisions you make. Consider speaking to a qualified professional before making one.

4. Questions in your own words

Share lets you ask questions in ordinary language. A language model, provided by Anthropic, turns your question into a scenario and describes the result. The model does not do the calculations: every figure comes from Share's own projection. The model can still misunderstand what you meant, so check that the scenario shown is the one you asked about. Do not use this feature to ask for advice; it will not give any. What is sent to Anthropic, and what is not kept, is described in the privacy policy.

5. Connected accounts

If you connect a financial account, the connection is made through Plaid, and you authorise Share to receive read-only information about it. Share cannot move money, trade or initiate transfers. Your use of Plaid is also subject to Plaid's own terms and privacy policy. Account information comes from your institution and Plaid; we do not guarantee that it is complete, accurate or current, and a projection is only as accurate as the figures behind it.

6. Subscriptions and billing

• Share is offered as an auto-renewing subscription, purchased and billed through Apple's App Store. The price and period are shown before you buy.
• If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel at least 24 hours before it ends.
• A subscription renews automatically unless you cancel at least 24 hours before the end of the current period. Cancel in your iPhone's Settings, under your name, then Subscriptions.
• Deleting your Share account does not cancel your subscription, because Apple bills it. Refunds are handled by Apple under its policies.

7. Your content and your data

The figures, goals and plans you enter remain yours. You give us permission to store and process them only to provide Share to you. We do not sell your data and do not share it for advertising. How we handle it, and how to delete it, is in the privacy policy, which forms part of these terms.

8. Acceptable use

You agree not to:

• use Share for anyone other than yourself without their permission, or connect an account you are not authorised to access;
• interfere with, probe, or overload Share or the services it relies on, or try to access another person's data;
• copy, reverse engineer or resell Share, except as the law allows despite this restriction;
• use Share for anything unlawful.

9. Ending your use

You can stop using Share and delete your account at any time from the app's settings (see Support). We may suspend or end your access if you breach these terms or if we stop offering Share, and if we stop offering it we will tell you in advance where we reasonably can.

10. Our property

Share, its software, design and the Share name and marks belong to Royal Acorn. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app on Apple devices you own or control, as permitted by these terms and Apple's usage rules.

11. Disclaimers

Share is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that Share will be uninterrupted, error-free, or that any projection will come true.

12. Limitation of liability

To the fullest extent the law allows, Royal Acorn is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, savings or investment returns, arising from your use of Share or from decisions you make using it. Our total liability for any claim relating to Share is limited to the amount you paid for Share in the twelve months before the claim arose. Some states do not allow some of these limits, so they may not all apply to you.

13. Governing law and disputes

These terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Salt Lake County, Utah, and you and we consent to their jurisdiction. 14. Apple

If you obtained Share from Apple's App Store:

• These terms are between you and Royal Acorn only, not Apple. Royal Acorn, not Apple, is solely responsible for Share and its content.
• Apple has no obligation to provide maintenance or support for Share. Support is ours: help@joinshare.app.
• If Share fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent the law allows, Apple has no other warranty obligation with respect to Share.
• Royal Acorn, not Apple, is responsible for addressing any claims relating to Share or your use of it, including product liability claims, claims that Share fails to meet a legal or regulatory requirement, and consumer protection or privacy claims.
• If a third party claims that Share or your use of it infringes their intellectual property rights, Royal Acorn, not Apple, is responsible for investigating, defending, settling and discharging that claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these terms and, once you accept them, Apple may enforce them against you as a third-party beneficiary.

15. Changes to these terms

If we change these terms we will update the date at the top and, for a significant change, tell you in the app before it takes effect. Continuing to use Share after a change takes effect means you accept it.

16. General

If any part of these terms is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not transfer these terms; we may transfer them as part of a merger, acquisition or sale of assets. These terms and the privacy policy are the entire agreement between you and us about Share.
